Terrence Edward Chong is a Partner of Darryl, Edward & Co. and handles a wide array of corporate and commercial matters. Terrence uses a practical, commercially grounded approach to complex transactions. He works closely with clients to identify the real business objective behind each issue, prioritise what is material, and translate legal risk into clear options that support timely decision-making.

In advising on structuring and negotiations, Terrence applies a “multi-mental model” framework—drawing on principles from corporate finance, incentives, risk allocation, regulatory strategy and deal dynamics—to test assumptions, anticipate counterparty behaviour and stress-test outcomes. This allows him to move beyond purely technical analysis and help clients resolve issues with solutions that are workable in practice, aligned with commercial realities, and robust under scrutiny.

1. Mergers & Acquisitions

1. Acted for a purchaser in the acquisition of a 100% stake in a mining-lease holding company in Kelantan (RM10 million).
2. Acted for a founder-seller in the disposal of a majority stake in an EPCC company to a public listed company (RM21.1 million).
3. Assisted a Japanese listed company in the acquisition of a 90% stake in a retail franchise operator (RM25.2 million).
4. Assisted a public listed company in the acquisition of a timber concession alongside concurrent equity fund-raising exercises (RM280 million).
5. Assisted in the acquisition and concurrent disposal of a manufacturing and trading company in the aluminium and alloy sector (RM37 million).
6. Advised on cross-border M&A transactions involving Singaporean and Japanese listed groups across manufacturing, logistics, fertiliser and industrial sectors.

2. Renewable Energy

1. Acted for renewable energy developers across the full project lifecycle—pre-bid, bid submission, consortium structuring and negotiation, through to project documentation and execution—on an aggregate portfolio of approximately 500MW of solar and green-energy projects, including land access and tenure arrangements (including right-to-use agreements), consortium and joint venture arrangements (including shareholders’/joint venture agreements), and key project and delivery contracts (including EPCC, O&M, supply and related project documentation).
2. Acted for a public listed company in the preparation and negotiation of corporate green power programme agreements with multiple corporate customers.
3. Acted for a public listed company in its acquisition of the entire equity interest in a company owning and operating 13 solar PV systems across multiple sites, including legal due diligence, rectification of due diligence issues and structuring to facilitate acquisition financing.
4. Acted for a public listed company in its joint venture with a leading Singapore-based solar energy solutions provider for solar investments in Malaysia, including incorporation of the joint venture company and its first solar investment project and power purchase agreement.
5. Acted for a public listed company in its investment in a group involved in the construction, operation and maintenance of biomass power plants and palm oil milling operations, including legal due diligence and negotiation of definitive agreements involving complex regulatory and cooperative-related considerations.
6. Acted for a public listed company in the development and standardisation of its template agreements for its solar PV business, including solar power purchase agreements and EPCC contracts for residential and commercial customers.

3. Capital Markets (Malaysia & International)

Malaysia

1. Acted on a wide range of Malaysian capital market transactions, including initial public offerings, private placements, rights issues, special issues, and post-listing corporate exercises.
2. Acted for a timber company on its acquisition of a timber concession alongside a private placement, special issue and rights issue exercise.
3. Acted for a property development company on its ratification and corporate regularisation exercise.
4. Acted for a renewable energy player in its proposed acquisition of land for project development.

International

NASDAQ

1. Acted as Malaysian counsel for Alps Global Holding Berhad, a biotechnology company, in its business combination with a NASDAQ-listed SPAC, with an implied transaction value of approximately US$1.6 billion.
2. Acted as legal counsel for Instinct Brothers Co., Ltd. in its proposed business combination with a NASDAQ-listed SPAC, advising on Malaysian legal and regulatory aspects of the transaction.
3. Acted as Malaysian counsel for Graphjet Technology Sdn. Bhd. and its shareholders in a business combination with a NASDAQ-listed SPAC, resulting in a public company with an implied transaction value of approximately US$1.49 billion.
4. Acted for Technology & Telecommunication Acquisition Corporation, a publicly traded SPAC, in its business combination with Super Apps Holdings Sdn. Bhd., creating a public company with an enterprise value of approximately US$1.1 billion.

1. Acted as Malaysian counsel for a kitchen equipment manufacturer on its IPO on the Growth Enterprise Market of the Hong Kong Stock Exchange.
2. Acted as Malaysian counsel for an integrated healthcare services and facilities provider on its listing on the Mainboard of the Singapore Exchange.
3. Acted as Malaysian counsel for a global e-commerce platform with halal verification capabilities on its listing on the IDX Growth Market.
4. Acted as Malaysian counsel for an enterprise application software and energy management systems provider on its listing on the Growth Enterprise Market of the Hong Kong Stock Exchange.
5. Acted as Malaysian counsel for a job aggregator and distributor platform on its proposed listing on the Australian Securities Exchange.
6. Acted as Malaysian counsel for a Cayman Islands incorporated company with a standard listing on the Main Market of the London Stock Exchange in its proposed reverse takeover of a group of Malaysian companies.

4. Real Estate

1. Acted for a public listed company in the acquisition of land.
2. Advised a Singapore-based developer on the acquisition of exclusive development rights for a hotel project within a prime Kuala Lumpur mall.
3. Acted for a joint venture involving a public listed company and a GLC in the acquisition of prime land parcels in Puteri Harbour, Johor.
4. Acted for Singaporean investors on acquisitions and disposals of commercial, residential, mixed-use and industrial developments in Johor and Penang (including a transaction valued at approximately US$47 million).
5. Regularly advises renewable energy developers on the acquisition and securing of land for solar and biomass projects, including structuring and negotiating land purchase and land access arrangements and conducting land and title due diligence, and assessing local authority and planning requirements (including zoning, land-use conditions and development approvals) to ensure suitability for the intended use.

5. Private Equity and Venture Capital

1. Regularly assists private equity and venture capital funds on legal due diligence for new funds, partners and investee companies.
2. Acted for government-linked investment entities on investments into biotechnology, technology and logistics start-ups (deal sizes ranging from US$3.5 million to RM70 million).
3. Acted for venture capital funds and family offices on minority and growth-stage investments across multiple sectors.
4. Advised founders and investee companies on fund-raising exercises, shareholder arrangements, employee share option schemes and exit-ready structuring.
