We have acted as transaction counsel for leading players in renewable energy projects across Malaysia.

Our team regularly advises on landmark developments involving land-based and floating solar farms, battery storage facilities, biomass plants, and hydroelectric dams.

We have structured and closed transactions for some of the largest and most pioneering solar farm deals in Malaysia, showcasing our deep industry insight and ability to handle highly complex deal structures.

Our lawyers have also advised on numerous solar photovoltaic (PV) project transactions, representing a substantial share of the nation’s installed solar generation capacity.

Notable Transactions

Prepared template agreements for our clients’ solar PV business, comprising (amongst others) a solar PPA and EPCC contract (for both residential and commercial customers).

We acted for a public listed company in its investment in a group of companies involved in the construction, operation and maintenance of biomass power plants to generate steam and electricity using oil palm empty fruit bunches as well as the operation of a palm oil mill. We assisted with the legal due diligence and negotiation of all definitive agreements for the transaction. Considering the nature of the targets’ business, there were many approvals, licences and permits that had to be obtained, which was further complicated by the involvement of a co-operative in the operations of the mill. These issues had to be identified, with appropriate work-arounds proposed within a short timeline.

We act for one of Malaysia’s largest and publicly listed players in this space. Our engagement includes assisting our client with all legal aspects of their business, including preparation and review of template agreements such as their EPCC agreements, letters of award, solar PPAs, corporate green power programme agreements and consortium agreements. Our engagement also includes assisting with our client’s overseas expansion, where we act as primary counsel for our client’s participation in overseas projects and the engagement of overseas partners and service providers. We also research, advise and coordinate application for applicable tax incentives.

We have acted for consortiums and clients in their bid for large-scale solar/LSS power plant, ranging from 10mw to 100mw. Our scope entailed ensuring that all necessary documentation needed for purposes of the bid were in place.

We acted for a publicly listed company in its joint venture with a leading solar energy solutions provider in Singapore, which entailed the incorporation of a joint venture company to carry out solar investment projects in Malaysia. As part of this transaction, we also assisted with the joint venture company’s first solar investment project and solar PPA.

We acted for a seller in the sale of a majority stake in his company to a public listed company. The company is engaged in the provision and implementation of solar PV projects for residential, commercial and industrial properties as well as LSS plants . The transaction entailed assistance with stream lining and facilitating due diligence, structuring the transaction, restructuring certain aspects of the company’s business and negotiation of the definitive agreements. In order to ensure a smooth due diligence process and a straight forward deal structure, it was crucial that we advised and undertook a restructuring exercise prior to commencement of due diligence, carving out troubled assets, business streams and entities within the group. Resulting therefrom, due diligence by the buyer was completed within the allocated time and without any material red flags being raised.

We acted for public listed company in its acquisition of the entire stake of a company which owns and operate 13 solar PV systems and assets in 13 different sites. We assisted with the legal due diligence and the negotiation of all definitive agreements for the transaction. Besides rectification of the red flags identified from the legal due diligence, we also had to structure the deal and the transaction documents to ensure that the necessary financing could be obtained finance the acquisition.

We recently acted for a publicly listed company in the preparation, negotiation and finalisation of its corporate green power programme agreements with 2 corporate customers. Time was of the essence in ensuring the finalisation and signing of the agreements within the deadline prescribed by the ST. Considering that only a MOU was signed with the corporate customers, it was a delicate process to negotiate and ensure that our client’s primary interests and objectives could be achieved under the agreements.

We recently acted for a publicly listed company in the preparation, negotiation and finalisation of its corporate green power programme agreements with 2 corporate customers. Time was of the essence in ensuring the finalisation and signing of the agreements within the deadline prescribed by the ST. Considering that only a MOU was signed with the corporate customers, it was a delicate process to negotiate and ensure that our client’s primary interests and objectives could be achieved under the agreements.
